Terms of Service

By creating an account, clicking “Start free trial”, or otherwise accessing the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use grvy.

You must be at least 18 years old and legally capable of entering into contracts to use the Service.

grvy provides AI-powered financial operations software for small and medium businesses, including modules for expense management (“grvy Spend”), accounts payable automation (“grvy Invoice”), and sales order processing (“grvy Sales”).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Where reasonably practicable, we will provide 30 days’ notice of material changes that affect your use of the Service.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@grvy.ai if you suspect unauthorised access.

You may not share your account with others or create multiple accounts to circumvent billing or usage limits.

Trial. grvy Spend includes a 30-day free trial. No credit card is required to start the trial. At the end of the trial, access is suspended unless you subscribe.

Paid subscriptions. Subscriptions are billed monthly in advance. Payment is processed by Lemon Squeezy. By subscribing you authorise recurring charges until you cancel.

Cancellation. You may cancel at any time from Settings → Billing. Your access continues until the end of the current billing period. We do not pro-rate partial months.

Refunds. We do not offer refunds for unused subscription periods, except where required by applicable consumer law.

Price changes. We will provide at least 30 days’ written notice before changing subscription prices. Continued use after the notice period constitutes acceptance.

You agree not to:

• Use grvy for any unlawful purpose or in violation of any applicable laws
• Upload or process documents you do not have the right to share
• Attempt to reverse-engineer, decompile, or extract the source code of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorised access to any part of the Service or its related systems
• Use the Service to process or store illegal content
• Resell or sublicense access to the Service without our prior written consent

We reserve the right to suspend or terminate accounts that violate these restrictions without notice.

The Service, including all software, algorithms, interfaces, logos, and content created by grvy, is our property or licensed to us and is protected by intellectual property laws. These Terms do not grant you any rights in grvy’s intellectual property.

You retain all rights to content you upload (“Customer Content”). You grant us a limited, non-exclusive licence to process Customer Content solely to provide the Service to you.

On termination of your account you may export your data for 30 days following closure. After that period, your data will be deleted in accordance with our retention schedule (see our Privacy Policy).

To the extent grvy processes personal data on your behalf as a data processor (for example, personal data contained in documents you upload), we do so in accordance with applicable data protection law, including GDPR.

If you require a Data Processing Agreement (DPA) for compliance purposes, email privacy@grvy.ai.

Each party agrees to keep the other’s confidential information (including, for you, the Service features and pricing not yet publicly disclosed; and for us, your Customer Content) confidential, and not to disclose it to third parties without prior written consent, except as required by law.

The Service is provided “as is” and “as available” without warranty of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or that AI-extracted data will be 100% accurate. You are responsible for reviewing and validating all AI output before acting on it.

Nothing in these Terms excludes or limits warranties that cannot be excluded or limited under applicable consumer protection law.

To the maximum extent permitted by law, grvy will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with these Terms or the Service.

Our total liability to you for any claim arising under these Terms will not exceed the greater of: (a) the total fees paid by you to grvy in the 12 months preceding the claim, or (b) £100.

You agree to indemnify and hold harmless grvy and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your Customer Content, or your violation of these Terms.

These Terms apply from the date you first access the Service and remain in effect until your account is closed.

Either party may terminate at any time: you by cancelling your subscription and deleting your account; we by providing 30 days’ notice. We may suspend or terminate your account immediately if you materially breach these Terms.

Sections 6, 7, 9, 10, 11, and 12 survive termination.

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where local mandatory consumer protection laws apply.

We may update these Terms from time to time. For material changes, we will notify you by email and post the revised Terms at least 14 days before they take effect. Your continued use of the Service after that date constitutes acceptance.
